All consideration is pre-funded. Counterparties receive an authenticated custodian confirmation as part of any formal proposal.

Reverse triangular merger with defined closing conditions; no MAE carve-outs beyond market standard; no financing out.

Regulatory Certainty:

Pre-filing dialog with FTC/DOJ; HSR-ready documentation from day one; state-level engagement as required.

Operational Certainty:

Day-one readiness across technical, commercial, and HR workstreams; retention packages for key employees; continuity for royalty owners and lessors.

Fund Structure

XEOS operates a traditional master-feeder fund structure designed for tax efficiency across U.S. taxable, U.S. tax-exempt, and non-U.S. investors. Investor-facing terms are customized for sovereign wealth, pension, endowment, and family-office mandates.
